- Acceptance of Terms
These Terms of Use (“Terms”) govern your access to and use of Plotzy, Inc.’s (“Plotzy,” “we,” “us,” or “our”) websites, software applications, and online services, including the Plotzy Digital Platform, Enterprise Portals, and any related tools or APIs (collectively, the “Platform”).
By accessing or using the Platform or our website at https://plotzy.ai (the “Site”), you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not access or use the Platform or Site.
If you are using the Platform on behalf of an organization, you agree to these Terms on behalf of that organization and represent that you have authority to bind it.
Plotzy, Inc. is a Delaware corporation with its principal business address in the United States.
- Scope and Eligibility
These Terms apply to:
• Enterprise Subscribers and their authorized users (“Authorized Users”) under a Platform Subscription Agreement;
• Self-service users who create individual accounts or purchase software directly through our website; and
• Visitors who browse or access the Site without registering.
You must be at least 18 years old (or the legal age of majority in your jurisdiction) to use the Platform.
- Account Registration and Security
You may be required to register for an account to access certain features. You agree to:
• Provide accurate, current, and complete information during registration;
• Maintain the confidentiality of your login credentials;
• Notify us immediately of any unauthorized access or security breach; and
• Accept full responsibility for all activities under your account.
Plotzy reserves the right to suspend or terminate accounts for violation of these Terms or applicable law.
- Authorized Use of the Platform
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You may not, directly or indirectly:
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or algorithms;
• Copy, modify, distribute, resell, or create derivative works of the Platform;
• Circumvent or disable security or authentication measures;
• Use the Platform to transmit malicious code, spam, or unlawful material;
• Misrepresent your identity or affiliation with any person or entity; or
• Interfere with or disrupt the operation or security of the Platform, servers, or networks.
Plotzy may investigate and take appropriate legal action against violations, including termination of access and cooperation with law enforcement.
- Enterprise Subscribers
If you are an enterprise subscriber under a separate Platform Subscription and Services Agreement or similar contract (“Subscription Agreement”), your use of the Platform is also governed by that agreement. In case of conflict between these Terms and your Subscription Agreement, the Subscription Agreement controls.
Enterprise Subscribers are responsible for ensuring compliance with these Terms by all Authorized Users.
- Intellectual Property Rights
All rights, title, and interest in and to the Platform, Site, and all related software, designs, data models, interfaces, text, graphics, and other materials (collectively, “Plotzy IP”) are owned by Plotzy, Inc. or its licensors.
Except as expressly provided in these Terms, no license or right is granted to you. You may not use Plotzy’s trademarks, logos, or other branding without prior written consent.
All content uploaded by users (“User Content”) remains owned by you or your organization. By submitting User Content to the Platform, you grant Plotzy a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display such content solely for providing and improving the Platform.
- Confidentiality and Data Protection
Any data submitted to the Platform, including personal or business information, is handled in accordance with the Plotzy Privacy Policy and applicable data protection laws.
Plotzy acts as a “service provider” or “processor” for enterprise Subscribers and does not sell or share personal information for cross-context behavioral advertising purposes. Enterprise Subscriber data (“Subscriber Data”) is processed solely as described in the Subscription Agreement and its incorporated Data Protection Agreement (Exhibit C).
- Fees and Payments (for Paid Services)
Self-service or enterprise users purchasing paid services agree to pay all applicable fees as displayed at checkout or as described in a Subscription Agreement.
All payments are due as specified in the order or invoice and must be made in U.S. dollars. Fees are non-refundable except as required by law or expressly stated in a written agreement.
Plotzy may suspend access for non-payment after reasonable notice.
- Third-Party Services and Links
The Platform may integrate or link to third-party services, APIs, or websites. Plotzy is not responsible for their availability, accuracy, or privacy practices. Use of third-party services is governed by their respective terms and policies.
- Termination
Plotzy may suspend or terminate your access to the Platform at any time if you:
• Violate these Terms or any applicable law;
• Engage in conduct harmful to Plotzy, its users, or third parties; or
• Fail to pay applicable fees when due.
Upon termination, your right to access the Platform immediately ceases. Enterprise data will be handled in accordance with applicable contracts. For Enterprise Subscribers, termination rights and post-termination data handling are governed by the applicable Subscription Agreement.
- Disclaimers
The Platform and Site are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.
Plotzy does not warrant that the Platform will be uninterrupted, error-free, or secure, or that any defects will be corrected. To the fullest extent permitted by law, Plotzy disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
- Limitation of Liability
To the maximum extent permitted by law, Plotzy and its affiliates, officers, directors, employees, and agents shall not be liable for:
• Any indirect, consequential, incidental, punitive, or exemplary damages; or
• Any loss of profits, data, goodwill, or other intangible losses arising from your use or inability to use the Platform.
Plotzy’s total cumulative liability under these Terms shall not exceed the amount you paid (if any) for the service giving rise to the claim during the 12 months preceding the incident. Some jurisdictions do not allow limitation of certain damages, so some limitations may not apply to you.
- Indemnification
You agree to defend, indemnify, and hold harmless Plotzy and its officers, directors, employees, and affiliates from and against any claims, damages, obligations, losses, liabilities, or expenses (including legal fees) arising out of:
• Your use of the Platform;
• Violation of these Terms or applicable law; or
• Infringement of any intellectual property or other right by you or your content.
- Changes to These Terms
We may update or modify these Terms from time to time. Material changes will be posted on our Site or communicated via email. Changes will not apply retroactively and will become effective upon posting. Continued use of the Platform after updates constitutes acceptance of the revised Terms.
- Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
Any disputes arising out of or relating to these Terms or your use of the Platform shall be brought exclusively in the state or federal courts located in Delaware, USA, and you consent to their jurisdiction.
- No Legal or Professional Advice
Information provided through the Platform, including zoning, ownership, or property data, is for general informational purposes only. Plotzy does not provide legal, financial, or professional advice, and users should consult appropriate professionals before making decisions based on Platform outputs.
- Export Compliance
You agree to comply with all applicable export control and trade laws. You shall not use or access the Platform in any jurisdiction where such use is prohibited, or export or re-export any portion of the Platform in violation of applicable export laws.
